Description

Our client, a media investment agency, is seeking an Associate General Counsel to add to their team in NY. The Associate General Counsel will report to the SVP, General Counsel and will provide legal counsel and support on corporate trade and commercial transactions within the media trade industry.

Duties And Responsibilities

• Draft, review and negotiate a wide variety of commercial contracts, agreements and legal documents, including corporate trade agreements, media purchase agreements, letters of intent, supplier agreements, master services agreements, non-disclosure agreements, finder agreements, employment–related agreements, restrictive covenant agreements, commission plans, incentive compensation plans, etc.

• Conduct legal research and analysis on relevant industry regulations and practices and collaborate with internal teams to ensure legal compliance and risk management.

• Advise on legal matters related to corporate governance, regulatory compliance, contract negotiations, intellectual property, real property, employment matters, strategic initiatives and handle dispute resolution and litigation matters as needed.

• Develop and implement company policies (e.g., employee handbook) and procedures to ensure legal compliance and promote best practices across the organization.

Requirements

Education and Experience

• Juris Doctor degree from an accredited law school.

• Active license to practice law in the state of New York.

• 10+ years of experience practicing law in a large law firm and/or in-house with a major corporation, with a focus on corporate and commercial transactions
